Many would be aware that this year’s AGM will now take place on Wednesday 30 September 2020 in Bundaberg, Qld. It was previously scheduled to take place in Canberra, ACT as we believed this central location would ensure that at least 200 full members attended the meeting (our constitution states that at least 200 members are required for the AGM to take place). On Monday, the company secretary and board of directors reviewed this location and, with the second COVID-19 outbreak in Victoria and continued spread into NSW, it was decided to change the venue. It was agreed that Bundaberg was an ideal location for the meeting to take place. Members may not be aware, but the Bundaberg region currently has the most CMCA members residing within its shire boundary than any other region in Australia.
ASIC has given permission for companies to hold virtual AGMs. This may be possible for smaller organisations, but this does not suit a company or Club of our size and all participants would require access to the internet, a device or laptop and the digital platform itself. More importantly, such a meeting would breach the Club’s constitution as per clause 23.2 where it states ‘Two hundred Members present in person (being Members entitled under this Constitution to vote at a general meeting) constitute a quorum for the transaction of the business of a general meeting’.
With the above taken into consideration, the upcoming AGM will be held in Bundaberg, Qld on Wednesday 30 September 2020. It will commence at 9am, with registration commencing at 8am. All COVID-19 protocols will be required to be met before entering. Business for this meeting closes Friday 31 July at 12noon in writing and must be forwarded to NHQ, addressed to the company secretary.
